Terms and Conditions for Organisations

These Terms and Conditions explain the basis on which Trauma Informed Law (“TiL”, “we”, “us” or “our”) provides access to the Vicarious Trauma Toolkit via the Hybrid Learning Hub (“the Hub”) to organisations.
Please read them before purchasing a membership.
1. About the Hub
The Hub is an online learning and development programme designed to support individuals to understand and navigate the potential impact of working with trauma, distress and challenging experiences.
Your organisation's membership may include:
● access to self-paced video content;
● accompanying handouts and learning resources;
● reflective exercises; and
● access to online Live Learning Labs and other live learning opportunities included within the membership.
The precise content and live programme may develop over time. We may update, improve or replace content where reasonably necessary, provided that we do not materially reduce the overall nature of the membership purchased.
The Hub is intended to provide an ongoing learning and reflective experience. It is not a professional qualification, accreditation or certification unless we expressly state otherwise.
2. Membership and licences
Your organisation is purchasing the number of licences agreed with us or shown at the point of purchase.
Each licence gives one authorised individual (“Learner”) the right to access the Hub for the membership period.
Unless we tell you otherwise when you sign up, your organisation’s membership period is 12 months. Your contract is formed when your purchase is accepted and your membership period begins on the date on which access to the Hub is first made available to you.
Licences are for named Learners and may not be shared.
If a Learner leaves your organisation or no longer requires access, you may request that the licence is reassigned to another individual. We may permit reasonable licence reassignments, subject to the terms of your membership and the technical capabilities of the Hub.
A reassigned Learner will not receive access to the previous Learner's personal information, reflections or learning history.
Your organisation remains responsible for ensuring that the number of people accessing the Hub does not exceed the number of licences purchased.
Each Learner must use their own account and login credentials. You must not create shared, generic or departmental accounts for multiple Learners.
3. Membership period
Unless otherwise agreed, membership lasts for 12 months.
Your membership period begins on the date specified at the point of purchase or, where applicable, the date on which access is first made available to you. Your membership does not automatically renew.
We may contact you before the end of the membership period to discuss renewal.
4. Price and payment
The price and payment terms will be agreed with you or confirmed at the point of purchase.
Unless otherwise agreed, invoices must be paid within 30 days of the invoice date.
From 11 January 2027, access to the Hub will be provided once payment has been received in full. For those purchasing membership prior to 11 January 2027, access to the Hub will be provided on 11 January 2027.
If payment is not received or is later reversed, we may suspend your access to the Hub until the matter is resolved.
Unless otherwise agreed, your organisation remains responsible for the agreed membership fee regardless of whether all licences are used during the membership period.
5. Your responsibilities
You are responsible for:
● ensuring that only authorised Learners access the Hub;
● providing accurate information about your organisation and Learners;
● ensuring that Learners understand and comply with the relevant Hub and Learning Lab requirements;
● not sharing or distributing our materials outside the scope of your membership; and
● paying the agreed fees when due.
You must not reproduce, sell, distribute, upload, record or use our content for your own training or commercial purposes without our written permission.
You must not, and must ensure that your Learners do not:
● reproduce, copy, publish, upload, transmit, distribute, sell, licence, sub-licence or otherwise make Hub content available to anyone who is not an authorised Learner;
● record, reproduce or distribute Hub content or Live Learning Labs without our written permission;
● use Hub content to create, deliver or support internal or external training, courses or other commercial products or services without our prior written permission;
● remove or alter copyright, trade mark or other proprietary notices;
● circumvent or attempt to circumvent technical access controls or security measures used by the Hub; or
● use Hub content or materials to train, develop, fine-tune or otherwise improve an artificial intelligence or machine learning system, or to create derivative content for such a purpose, without our prior written permission.
Your organisation may use the learning arising from the Hub in its ordinary professional activities. This does not give your organisation a right to reproduce or distribute TiL's materials.
6. Cancellation and refunds
Refunds are not ordinarily available once access to the Hub has begun. Any statutory rights you have in relation to cancellation, refunds or digital content that does not conform to the contract remain unaffected.
If you wish to exercise a statutory cancellation right, you can contact us using the details in section 17.
7. Renewal
Your membership will end automatically at the end of the 12-month membership period.
We may contact you before or after the end of your membership with information about renewal or other TiL services, subject to our applicable marketing preferences and legal requirements. Any renewal will require you to make a new purchase.
8. Live Learning Labs
Live Learning Labs are educational and reflective spaces designed to support learners to explore and apply the content of the Hub.
They are not therapy, counselling, medical or mental health treatment, crisis support, legal advice or individual professional supervision.
All Learners attending the Live Learning Labs must agree to the Live Learning Lab Group Agreement.
Access to Live Learning Labs may be subject to capacity, booking requirements and the published programme.
We may occasionally need to change the date, time, facilitator or format of a session. Where reasonably possible, we will provide notice and an alternative.
Live Learning Labs may be audio captured and/or transcribed by us using an AI-assisted meeting and transcription service, such as Fireflies, for the limited purposes described in our Data Protection Policy. This may include identifying recurring themes, questions, insights and learning arising across sessions and helping us prepare anonymised or aggregated reflective communications and learning resources.
We will tell participants before or at the start of a Live Learning Lab where such audio capture or transcription is being used. We will not use this process to assess, monitor or profile individual participants.
We will take reasonable steps to avoid including unnecessary personal, confidential or identifiable information in any wider communication or learning resource derived from a Live Learning Lab. We will not intentionally attribute a participant's contribution to them in such material without their permission.
Learners must not record, photograph, screen-capture or otherwise reproduce or share any part of a Live Learning Lab or another participant's contributions.
We may ask a Learner to leave a Live Learning Lab if we reasonably consider that their conduct is disrupting the session, creating a risk to another participant or facilitator, or breaching the Live Learning Lab Group Agreement. If the Learner is asked to leave a Live Learning Lab, they must comply promptly with that request, failing which we reserve the right to remove the Learner from the online session.
9. Learner participation and confidentiality
We expect all Learners to participate respectfully and appropriately.
Learners must not:
● harass, threaten or abuse another participant or facilitator;
● disclose another participant's personal experiences or contributions outside the session without permission;
● share identifiable confidential information about clients, colleagues or other third parties; or
● seriously disrupt the learning environment.
Learners should also avoid sharing information about clients, colleagues or other third parties in a Live Learning Lab unless it is necessary for the learning discussion and the Learner has taken appropriate steps to anonymise the identities in question.
We encourage all participants to respect the confidentiality of Live Learning Labs. However, we cannot guarantee that every participant will comply with this expectation.
We may ask a Learner to leave a Live Learning Lab immediately where we reasonably consider this necessary to protect the safety, dignity, privacy or learning experience of other participants or facilitators. If a Learner is asked to leave a Live Learning Lab, they must comply promptly with that request, failing which we reserve the right to remove the Learner from the online session.
We may also suspend or terminate a Learner’s Hub access where there has been a serious or repeated breach of these Terms, the Live Learning Lab Group Agreement or other applicable Hub requirements.
Your organisation must cooperate reasonably with us in addressing serious or repeated concerns relating to a Learner's conduct or use of the Hub.
10. Important Note for Learners
Our Important Note for Learners forms part of your experience of the Hub, and we encourage Learners to refer to it before and during their participation.
The Hub provides education and professional development. It is not intended to diagnose, treat or provide therapy for any individual.
Some of the subject matter may feel challenging or personally relevant. Each Learner is encouraged to work at their own pace, make use of the resources provided and decide for themselves how they participate.
The Hub does not create a therapeutic, clinical, medical, legal or professional advisory relationship between the Learner and TiL. If a Learner needs therapeutic, medical, mental health, emergency or other professional support, they should seek support from an appropriately qualified professional or relevant service.
Any examples, exercises, reflections or information provided through the Hub are for learning and reflection. They should not be treated as an assessment of mental health, diagnosis, treatment recommendation or advice about a particular professional, legal or personal situation.
Your organisation remains responsible for determining whether and how learning from the Hub should be incorporated into your own policies, training, supervision, risk management or professional practice.
11. Intellectual property
All intellectual property rights in the Hub and its content, including videos, handouts, written materials, exercises, branding and other resources, belong to Trauma Informed Law.
Your organisation receives a limited, non-exclusive and non-transferable licence to allow your authorised Learners to access and use the Hub for your Learners’ educational and professional development during your membership period.
Your organisation (including, for the avoidance of doubt, your Learners) does not acquire ownership of any of our content.
Except where expressly permitted by us, neither your organisation nor your Learners may copy, reproduce, adapt, translate, publish, distribute, sell, licence, sub-licence, commercially exploit or make available to any other person any Hub content or materials.
Your organisation must not incorporate TiL materials into its own training materials, policies, learning management systems, intranet or other resources for onward access without our prior written permission.
Neither your organisation nor your Learners may use Hub content to create, deliver or support competing training or commercial services.
Learners may download or retain materials only where the Hub expressly provides a download facility for that purpose.
Nothing in these Terms prevents Learners from making reasonable personal notes or applying learning from the Hub in their own professional practice, provided that they do not reproduce or distribute our content itself.
Your organisation must ensure that your Learners comply with these intellectual property restrictions.
12. Learner data and privacy
We will process personal data in accordance with our Data Protection Policy and applicable data protection law.
This may include information needed to:
● create and manage your learner’s accounts;
● provide access to the Hub;
● manage payments and membership;
● administer Live Learning Labs;
● respond to questions or complaints; and
● improve our services.
Our Data Protection Policy explains in more detail how we collect, use, disclose, retain and protect personal information, including information relating to Hub participation and Live Learning Labs. It also explains our use of third-party service providers and AI-assisted tools such as Fireflies where applicable.
We encourage you to read the Data Protection Policy before purchasing or participating in the Hub.
We may collect information necessary to provide and administer the Hub, including account information, membership information, learning activity and attendance.
Unless we have agreed otherwise, we will not provide your organisation with access to an individual Learner's personal reflections, contributions or other information that is not reasonably necessary to administer the organisation's membership.
We may provide appropriate administrative or aggregated information relating to your organisation's membership.
The precise data protection responsibilities of TiL and your organisation will depend on the nature of the information and processing involved. Where required, the parties will enter into additional data protection terms.
Your organisation remains responsible for ensuring that it has an appropriate lawful basis and provides any necessary information to its Learners in relation to personal data that it provides to TiL.
Unless otherwise expressly agreed, TiL will not provide the organisation with individual Learner reflections, Live Learning Lab contributions, or information about what an individual Learner has said or disclosed during a session.
13. Confidentiality
Each party will keep confidential any confidential information received from the other in connection with the membership and will not disclose it to anyone else except where necessary to perform this agreement or where required by law.
This does not prevent either party from using information that is already public or was lawfully obtained from another source.
Your organisation must ensure that information shared by TiL that is clearly confidential is only made available internally to people who need to know it for the purposes of the Hub and who are subject to appropriate confidentiality obligations.
Nothing in this section requires a participant to keep confidential information where disclosure is required by law or where a participant reasonably believes disclosure is necessary to protect themselves or another person from serious harm.
14. Our responsibility to you
We will take reasonable care and skill in providing the Hub.
However, we cannot guarantee that the Hub will always be uninterrupted or available on every device or internet connection.
The Hub depends in part on third-party platforms and services. We will take reasonable steps to maintain access to the Hub but are not responsible for interruptions, failures or changes to third-party services that are outside our reasonable control.
We may temporarily suspend access where reasonably necessary for maintenance, security, technical reasons or to protect the Hub and its users.
The Hub is intended as educational material. How Learners choose to apply what they learn is ultimately their responsibility.
We do not guarantee that the Hub will be suitable for every individual or every situation, or that applying the learning will produce a particular outcome.
Subject to the following paragraph, our total liability arising from or in connection with the membership will not exceed the fees paid or payable by your organisation for the membership in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited.
15. Ending or suspending access
We may suspend access to the Hub where:
● fees remain unpaid after reasonable notice;
● the Hub is being misused or shared in breach of these Terms;
● a Learner seriously or repeatedly breaches these Terms or behaves inappropriately towards other Learners or facilitators; or
● suspension is reasonably necessary to protect the security or integrity of the Hub or the safety of other participants.
We may also suspend access where the organisation or its Learners exceed the number of licences purchased or permit unauthorised account sharing.
Termination will not affect any fees already due.
We may also suspend or terminate access where this is reasonably necessary to protect the security or integrity of the Hub or the safety, privacy or dignity of other participants.
Where reasonable, we will give you notice and an opportunity to resolve the issue before terminating your access.
Where access is suspended or terminated, all Learner access rights and the organisation's licence to access the Hub will end. The organisation and its Learners must stop using the Hub and its content immediately and must not retain, share or continue to use materials accessed through the Hub except where required by law.
Termination or expiry of your membership does not affect any rights or obligations which are intended to continue after the membership ends, including provisions relating to intellectual property, confidentiality, liability and use of Hub materials
16. Changes to these Terms
We may update these Terms from time to time.
If we make a significant change that materially affects your membership, we will take reasonable steps to let you know.
The version of the Terms in force when you purchase your membership will normally apply to that membership period, unless a change is required by law or is necessary for security, operational or other important reasons.
We may also update, improve or replace Hub content and modify the timing, format or facilitator of Live Learning Labs where reasonably necessary, provided that we do not materially reduce the overall nature of the membership purchased.

18. General
These Terms do not affect any rights you have which cannot legally be excluded.
If any part of these Terms is found to be invalid or unenforceable, the rest will continue to apply.
These Terms are governed by the laws of England and Wales, unless applicable law requires otherwise.
We may not transfer our rights or obligations under these Terms in a way that would materially reduce your rights without your consent, except where permitted by law as part of a genuine business sale, merger, restructuring or transfer of the business.
No failure by us to enforce a provision of these Terms will amount to a waiver of our right to enforce it later.
Any variation to these Terms must be agreed in writing by both parties, except that TiL may update the Terms in accordance with section 16.
Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between TiL and the organisation.
By purchasing or accessing the Hub, you agree to these Terms and Conditions.
